UT.POSITION SUMMARYServes as an in-house counsel for the University
of Toledo Physicians and interprets complex legal matters,
mitigates risk, and ensures compliance with laws and regulations.
The individual will contribute to the success and legal well-being
of the entire organization in a cross-functional legal capacity.
ESSENTIAL JOB FUNCTIONS AND ACCOUNTABILITIES
- Advises UTP Leadership on contracts, compliance with health
care laws and regulations; communicates complex legal concepts to
non-legal staff.
- Drafts and reviews contracts, agreements, and regulatory
filings; working closely with leadership and key stakeholders to
achieve strategic goals.
- Conducts legal research and analysis on health care issues,
advising UTP Leadership on needed actions and important
changes.
- Advises UTP Leadership on compliance with laws during
contractual relationship formation and cessation.
- Ensures employment contracts align with legal
requirements.
- Supports and consults on the preparation of claims, employment
contracts, or other legal documentation.
- Evaluates new business partnerships and provides legal advice
to UTP Leadership during transactions.
- Advises and supports UTP Leadership in the design, change and
implementation of UTP's policies.
- Collaborates with UTP Leadership providing guidance in
relationships with employees, partners, vendors, and other parties
to reach mutually beneficial agreements.
- Analyzes and ensures the legality, clarity, and fairness of
contracts already in place.
- Ensures that contracts adhere to relevant laws, regulations,
and industry standards.
- Supports UTP Leadership in attempting to resolve disputes
outside of court through negotiation or alternative dispute
resolution methods.
- Coordinates with UTP's affiliated entities on matters of common
interest.
- Represents and advises UTP Leadership in handling of legal
documents and proceedings.
- Handles sensitive matters with care and confidentiality.
- Cultivates teamwork and collaborates with outside counsel
utilized by UTP.
- Other duties as assigned in support of the UTP and UTHealth's
success and overall organizational mission. REQUIRED QUALIFICATIONS
- Education and License:
- J.D. from an ABA Accredited Law School
- Licensed to practice law in the state Ohio.
- Good standing member of the Ohio State Bar (or able to waive
in).
- Skills:
- Strong legal research and writing skills.
- Excellent negotiation and conflict resolution abilities.
- Proficient in drafting legal documents, including appeals,
demand letters, and litigation briefs.
- Proficiency with MS Office
- In-depth knowledge of heath care law and regulations.
- Demonstrated ability to work independently and prioritize
multiple tasks and produce output with a high degree of
accuracy.
- Demonstrated ability to influence multiple stakeholders to
achieve organization mission.
- Demonstrated integrity and respect for others; values teamwork
and collaboration in interpersonal interactions.
- Years of Experience:
- 8+ years of corporate legal experience, including contract
review.
- Strong academic record
- 5+ years' experience in health law WORKING CONDITIONS
- Must be able to move about the practice/department and between
workstations.
- Must be able to understand directions (written and verbal),
communicate and respond to inquiries.
- Must be able to occasionally lift or carry light equipment or
supplies.
- Must be able to input and retrieve information from a computer.
